Abstract:

As a result of globalization and increased foreign investments in Slovakia, as well as in the interest of complex solutions for risky investments into business organizations, a new legal type of business was included through a legislative adjustment of the Commercial Code effective as of 1 January 2017. The amended Commercial Code introduced a new legal form of business in Slovakia, namely a simple joint-stock company. Basically, this creates conditions for start-up founders who are beginning entrepreneurs. The new model of company is a novelty in Slovakia and such type of joint-stock company can only be found in several countries of the world. The paper analyses the current legal state of establishment of a simple join-stock company and identifies particular advantages and drawbacks of this legal form of business.
