Abstract:
According to Russian law, a merger must form a new legal entity. "Acquisition" refers to a purchase of one company by another with the transfer of absolute or partial rights. According to RBC news agency, despite the fact that in 2018 the number of mergers and acquisitions in Russia was quite small, their volumes reached a record result: $ 13.4 billion. [1]. There is an overview of the most expensive deals in decreasing order:
- Sberbank's sale of its company “Denizbank” to the Dubai banking group Emirates NBD, the transaction amount is $ 3.2 billion;
- VTB’s purchase of 29 % of Magnit shares for $ 2.45 billion;
- Japan Tobacco bought a 100% stake in Donskoy Tabak group for $ 1.7 billion.
Mergers and acquisitions are often carried out on the Russian market, however, indicators in terms of quantity and volume are declining, all of these processes have an explanation - the impact of the global financial and economic crisis.
