Abstract:

This article examines the problematic issues that arise with business entities involved in mergers and acquisitions in the jurisdiction of the Russian Federation. The authors of the scientific work presented an analysis of the legal regulation of such transactions, including the distribution of the assets of companies, the procedure for establishing control and regulation of settlements. The problem of regulating foreign investments also taken into consideration. The main problems facing law enforcement practice are analyzed, and the authors propose methods for their resolution. Based on the study of the conceptual apparatus of the topic of scientific work, as well as based on the works of legal scholars and economists, the authors study the legal nature of mergers and acquisitions deals, in particular, their Russian specifics. The amendments made to the civil and corporate legislation of the Russian Federation are also analyzed, as well as their impact on improving the efficiency of mergers and acquisitions.
