Is the Development Degree Influencing the Corporate Governance Regulations and Practices?

Abstract:

This paper has as main aim to identify and compare corporate governance code used in emerging and developed countries in order to observe whether there are significant differences that could be explained by the development degree. In this regard, the paper focuses on the similarities and differences between Bulgarian code for corporate governance, Bucharest Stock Exchange corporate governance code and the UK corporate governance code, considering Bulgaria and Romania are emerging countries, while United Kingdom is a developed one. For a deeper analysis, the author considers relevant to observe the implementation of the corporate governance principles contained in the corporate governance code for non financial companies from each mentioned country. The relevance and originality of the paper consists on its attempt to examine in contrast corporate governance regulations and practices in emerging and developed countries.
