Abstract:
When making creative and innovative decisions, there is a certain paradox in the corporate governance system. The paradox is that, on the one hand, a corporate governance system is an open system, and therefore, of course, its effectiveness is measured by the rationality of responding to environmental challenges. On the other hand, the components of the corporate governance system counteract the changes that occur from the outside. This is despite the fact that corporate employees may be aware that the absence of change will inevitably lead to negative trends in the future. We propose a model of corporate governance that is resilient to change-driven resistance.
