Societas Europaea as a New Legal Form of Company within European Union – First Decade of Evolution in Entrepreneurial Environment in Czech Republic

Abstract:

A Societas Europaea is a legal and official name of legal form of company which could be found within European Union region. Such type of company could be found by specific way given by Community law which has affected on the local legal system. Thus the local law system had to be changed to not harm the Community one. Although an environment which might be ready for such type of company was prepared for more than 50 years it is difficult question to be answered whether such type of company is a new way suitable for entrepreneurs to be competitive within European Union region or not. Original idea which was looking for such type of legal form of the company – which could be the same in all European Union member´s – had been lost a bit during its hard and very long process of forming the right type rules which might be acceptable for all countries.

That long and hard-to-negotiate process was completed successfully in 2001 when finally proper Direction was designed. As a new standard which could change a situation within all entrepreneur environments significantly it´s legal come into force was postponed to 2004. Local law systems of all European members´ could (and practically had to) adapt its current legal systems to that new legal standard.

Since 2004 all necessary steps were done and significant change started to be valid, then. As first decade of that situation is slightly coming true it is worth to observe the evolution of Societas Europaea within Czech Republic region and European Union, too, so it could be identified the position of Czech entrepreneurial environment for such legal form of company.
